The Event Services Association Articles of Association

The following is an extract from the Articles of Association, included to provide a clear understanding of TESA, its regulations and objectives.

Members and Membership

4. The subscribers to the Memorandum of Association and such other persons as are admitted to Membership in accordance with the Articles shall be Members of the Association.

5. Any undertaking (whether or not an Association within the Act) may apply to be admitted as a Member of the Association provided it delivers to the Operator or the Committee two acceptable, in the opinion of the Operator or the Committee, references from customers of the applicant. For the avoidance of doubt the information disclosed in any and all references shall be regarded as confidential by the Operator or the Committee.

6. A Member may at any time withdraw from the Association by giving at least 1 calendar months' notice in writing to the Association. Any person ceasing by any means to be a Member shall remain liable for and shall pay to the Operator all monies due to it at the time of ceasing to be a Member or for which he may become liable in respect of membership fees.

7. Membership shall not be transferable and shall cease on the dissolution of any undertaking.

8. A corporation (whether or not a company within the Act) being a member company may authorise such person as it thinks fit to act as its representative at any meeting of the Association and that representative is entitled to exercise all the rights and powers of a Member.

9. The Committee may at their discretion terminate the Membership of any Member upon giving 1 calendar months' notice.

10. Without prejudice to the Committee's general power in Regulation 9 the Committee, at their discretion, may suspend or terminate the Membership of any Member in the event that any sums due to the Operator remain outstanding for in excess of 3 calendar months from the date of the invoice; such sums may include Membership fees, the cost of any inspections or audits required as part of membership or any other sums due to the Operator. Following expulsions or suspensions in the event that the Member wishes to continue Membership of the Association the Committee reserves the right to reactivate or re-admit the Member provided that the Member settles any and all outstanding sums due to the Association or the Operator. continues...
